Regulations Detailing the Rules of the Membership Club of “Sabon Shel Pa’am (2000) Ltd.“

(Hereinafter: "Sabon" or "the Chain" or "the Company")



1.The chain store "Sabon Shel Pa’am (2000) Ltd." has established a customer club (hereinafter: "the club") and issues membership cards for club members (hereinafter: "the membership card").

1.1.  Any customer of the Chain may request to register as a member of the club. Registration includes a one-time fee to be determined by the Chain from time to time.

1.2.  The Chain may refuse to accept a customer as a club member for any reason and at its sole discretion.

1.3.  A member whose membership has been approved by the Chain shall receive a personal membership card that cannot be sold or transferred (hereinafter: "member").

1.4.  The Chain may at any time, without notice and at its sole and absolute discretion, cancel the membership of a club member. If the membership is canceled within a year of joining the club, the relative share of payment of membership fees shall be returned to the member. If the membership is canceled after a year of joining the club, the member shall not be entitled to a refund of membership fees.

2.The Sabon club shall issue the membership card to the member, by which he can accumulate "Points" (defined below) to be used at the Sabon chain or subject to agreements to be signed periodically with other entities.

3.The use of the card shall be in accordance with these regulations, as updated from time to time by the Sabon club and in accordance with the instructions that shall appear on the card, or the leaflet that shall accompany the card when it is provided, and also through marketing communications that shall be sent to club members.

4.When paying the membership fee, the member shall be entitled to receive a promotional discount with purchase of company product/s as determined by the company, and subject to the terms of the offer (hereinafter: the "joining promotion").

5.The club shall be entitled to withhold approval of a member joining the program, at its sole discretion, and without being obliged to give reasons for stated refusal. Among others, the club management shall be entitled to refuse to approve the addition of a club member without obligation to give reasons for its refusal, including the joining of club members who were caught stealing, cheating, engaging in fraud and the like, and/or those who have made purchases whose payments have not been fulfilled (including checks not honored), as well as to cancel their membership in the club and invalidate the points accrued in their favor for any reason.


Validity Period of Club Membership

1.The validity period of club membership is for one year starting from the date of joining. At the end of the first year of membership in the club, club membership shall be renewed for one more year automatically at no extra charge.

2.After two years of joining the club, membership shall be renewed annually automatically for another year, provided that the club member has made at least one purchase in a Sabon store while identifying with his membership card, during the last year of membership in the club. If the club member does not make a purchase annually from the end of a period of two years after joining the club, membership will be terminated at the end of last year in which such an purchase was not made.

3.Shall the membership expire, it shall not be possible to earn points anymore by purchasing, and the points earned with the card shall be deleted.

4.Renewal of club membership for a member whose card has expired is conditioned on payment of membership fees as determined from time to time at the sole discretion of Sabon. It should be emphasized that the renewal of the membership card shall not bring back the points accumulated in the expired club card.

5.For the avoidance of doubt, with the expiration of membership the member shall lose the right to accumulate points or redeem points, unless the member had extended the period of membership before the end of the period of membership (ie, until the last day of membership), and in accordance with the terms of the club at that time. Note that Sabon is not obliged to inform the club member prior to the end of his membership period, and a customer who did not renew his membership before the end of his membership period, shall lose the points accumulated up to the date of the end of his membership period.

6.The Sabon Chain may at its sole discretion automatically extend the validity period of the club membership for a specific member or a group of members at its sole discretion, for any additional period of time that management will decide on, without requiring an explanation or justification for its considerations.


Marketing Communications and Publications

1.Advertising methods: Club announcements, regarding all matters relating to the program’s activities, including, but not limited to, changes and/or additions and/or subtractions Sabon made and/or intends to be make, in the regulations and/or in the accrual key and/or other benefits and/or in all matters relating to the eligibility of a club member to participate in the program and/or termination of his activities, etc., will be made by Sabon in the manner that Sabon deems appropriate at its sole discretion.

2.Without limiting the above, advertising on a billboard visible in Chain shops and/or in one of the media outlets and/or the Sabon website and/or through direct communication with members, including by e-mail or SMS, all at Sabon’s discretion, shall be deemed adequate, and a member of the club shall not be heard claiming he did not know about the incident reported and/or publicized as stated.

3.It is clarified that the customer’s joining of the Chain’s membership club, and the customer’s submission of email and cell phone details to the Company, constitutes the customer’s consent to receive advertisements, announcements and marketing materials that the Chain distributes and/or will distribute in the future, all in accordance with Amendment No. 40 to the Communications (Bezeq and Broadcasts) Law, 2008, as regards to promotions, discounts and exclusive benefits that are granted and/or will be granted in the future to club members, through email or SMS messages sent directly to the computer or the cellular device of the customer, and to be included to this end in the mailing list for Chain club members.

4.For the avoidance of doubt, Sabon is exempt from the requirement of notification on benefits or promotions with regard to a club member who did not provide a valid mobile phone number or valid email address, and the club member shall not have any claim against Sabon regarding non receipt of a publication.

5.The company has a website and online shop (Hereinafter "the Website") at the address that provides, among other things, deliveries to the customer’s home. As part of the customer joining as a club member, the Chain shall distribute via email promotions, updates and marketing materials regarding the Website.

6.A customer who does not wish to be included in the SMS delivery service mailing list, shall refer to the Company in writing to remove himself from the list.

7.A customer who does not wish to be included in the email delivery service mailing list, shall click to remove his address in the place provided in the email.


Points Accumulation

1.Redeeming points earned by a club member shall be allowed only as specified in these regulations and in the company’s various publications.

2.Subject to Article 1 above, the value of points given for each purchase, shall be at the rate of 10% of the shekel amount actually paid in respect of the purchase. For example, from a  ₪100 purchase, a member of the club accumulates 10 club points. Note that canceling the deal on the basis of which were given points shall lead to the subtraction of points accrued in respect of that transaction. There shall be no accumulation of points for a transaction in which the customer pays with various vouchers (such as Tav Zahav, Rav Tav, Power Gift, etc.).

3.All customer club accumulated points can be redeemed as a discount in the amount of  ₪1 in a future purchase (i.e., a transaction later than the transaction in which the points were accumulated), subject to the provisions set out below.

4.The member shall accrue points for every purchase that is fully paid for, at one of the Chain’s stores in Israel only. Purchases on the Website store shall not accumulate points. It is clarified that the value of the points shall be calculated according to the actual amount charged to the club member. In case of a payments transaction or a transaction with deferred payment, the points shall accrue in favor of the member of the club at the end of the full payment in respect of that transaction. It is also clarified that in the event that the full payment of a payments transaction or a deferred payment transaction will be after the expiry of the membership card, the member shall not accrue any points with regards to this purchase.

5.Points are personal to each Member. Points can not be sold or transferred to another person, to another member or to a union of members.

6.The accumulation of points shall be possible only for a member whose membership has not expired.

7.The accumulation of points is conditional on member identification and presentation of membership card.

8.In addition to the above mentioned points, occasionally it is possible that each member shall be given additional bonus points:

8.1.  Bonus points shall accrue to the member as equivalent monetarily in every way to regular points, and all the conditions that apply to regular points as specified in these regulations shall apply to them.

8.2.  Sabon shall decide at its sole discretion on the method and timing of the accumulation of bonus points and shall notify regarding this through the advertising media as specified in these regulations.

9.A club member can redeem the points accumulated in his favor only in transactions to be performed by him after the transaction on the basis of which the points accumulated in his favor.

10.There cannot be a negative accumulation of points.

11.Sabon reserves the right to alter and/or amend the accumulation key and/or the method of calculation of the accumulation and/or the validity of the points as stated above. Any changes and/or amendments and/or updates as stated shall constitute an integral part of these regulations, and will be published in one of the ways of advertising listed in the Marketing Communications chapter of the regulations, all at the sole discretion of Sabon and without requiring advance notice.


Redeeming Points

1.A member may at any time redeem the points accumulated in his favor according to the ratio of 1 point = ₪1 and pay for a product with points according to the value of points accumulated in his favor, provided that payment for the product through points shall be contingent upon the existence and utilization of points worth at least 50% of the cost of the product.

2.It is clarified that the purchase of a product in exchange for points shall be allowed only provided that to the benefit of the customer had accrued and are utilized points worth no less than 50% of the value of the product. It shall not be possible to complete the missing points to the minimum required through monetary payment.

3.Sabon shall be entitled at its sole discretion to improve the conversion rate of the points for a specific club member or a group of club members for the purchase of a product or products, without having to provide an explanation or report.

4.From time to time Sabon shall publish exclusive offers for club members. The club promotions, the nature of the promotions and their commercial terms shall be determined at the sole discretion of Sabon. For example:

4.1.  Discounts higher than promotional discounts available to customers who are not club members.

4.2.  Double points accumulation with the purchase of a specific product.

4.3.  Transfer of points to another customer.

5.The examples listed above are for illustrative purposes only, and do not obligate Sabon.

6.In any case, it shall not be possible to accrue and and redeem points in a case where a promotion and/or other discount applies to the purchase or part of it, as in the maxim - "No double discounts". However, the Chain shall be allowed to enable the redemption and/or aggregation of points is such cases, at its sole discretion.

7.The use of points at the point of sale is conditional on presentation of a valid membership card and an identification card of the card holder.

8.Points accumulated shall be retained for the club member for 24 months after their date of accrual, as it appears in Sabon’s records.

9.If a member has not utilized points within 24 months of their accrual date, these points shall be deleted from the records of the points standing to the credit of the club member, and the club member shall not have any claims against the Company and/or the club with regard to points deleted as mentioned, with respect to their non realization by the date set.


Birthday Benefit

1.    A club member shall be entitled to receive benefits in the calendar month of his birthday (Hereinafter "Birthday benefit"), as specified below:

 1.        A gift that is not conditional upon a purchase that will be given to the club member at one of the stores of Sabon in Israel (not including the Website store). The type of gift shall be in accordance with Sabon’s decision and shall change from time to time at the sole discretion of the Company.

2.        15% discount for purchase at one of Sabon’s stores in Israel (not including the Website store).

2.    Receiving the gift as detailed in Article 1.1. and the realization of the discount as detailed in Article 1.2. shall be realized at the same time. In other words, you cannot get the discount and gift at different times.

3.    Birthday benefits as set out in Article 1 above are personal and are not transferable.

4.    Realization of the benefit shall be during the calendar month of the birthday only, subject to presenting a membership card and an identity card.


In the Event of a Dispute

1.The records of the Chain shall constitute evidence in relation to the accumulation of points by any member of the club, and the transactions carried out by the member in the Chain.

2.A member who feels himself injured with regard to points accumulated or any other matter arising from these regulations or the promotion, may apply in writing to the Chain Manager and raise his objections.

3.The Chain Manager’s decision shall be given within 14 workdays, and once the member receives the response, it shall be final and not given to appeal.

4.In the case of club card loss, the member must inform the Chain in writing within 21 days of becoming aware of his loss of the club card. Subject to the notification of the club member as stated in this section, the Company shall issue the member a replacement card on which shall be loaded the points accrued in favor of the club member.

5.The Chain shall not be liable for the loss of points due to forgery and theft, in case the member did not notify the Chain of the loss of the card.

6.A member who lost his card club shall be able to be issued a new card, according to the cost to be determined by the Chain at the time.

7.A member who claims that the number of points at his disposal is different than the number of points found in the Chain’s records, can prove the number of his points by presenting invoices that evidence his claim.



Club Members’ Obligations

1.The club member shall be responsible for updating in writing the club administration of any change in his address to allow continuous, ongoing communication with him.

2.It is clarified that a membership card for which the company records do not contain the member’s information that is required on the enrollment form, the company is entitled to cancel the card, and also cancel the points accumulated on the card, without the possibility of their utilization.

3.The club member undertakes to use the card for purchase for personal or private use only, or for any other use approved by Sabon. Wholesale or commercial purchase using the club member card is prohibited.

4.The club member agrees not to abuse their membership. Any abuse will cause termination of club membership.

5.In case a member utilized more points than he deserves due to computer failure or disruption, the customer shall return to the Chain the value of the points that were utilized by him due to the error, according to their value.

For example, a member who accumulated 50 points, but due to a computer failure utilized 100 points, shall return to the Chain 50 shekels.


Additional Benefits

1.Club members shall be entitled to various additional benefits, in addition to points accumulated in their favor, at the sole discretion of Sabon, and as the Company shall publicize from time to time, as well as benefits in other businesses that choose to take part in the program in various ways.

2.Information on the additional benefits publicized by Sabon, regarding services and/or products provided by the member chains and/or other businesses, shall be delivered by the member chains and/or other businesses and are their own responsibility.

3.Publication of the above information shall not impose any responsibility or liability whatsoever on Sabon and/or its representatives in anything concerning these products and services, their nature, their suitability to club members and their needs, or their description.

4.Sabon reserves its right to replace and/or remove and/or modify and/or update the variety of benefits publicized at its sole discretion.


General Conditions

1.Provisions of these regulations and membership in the club shall be valid only in the area of the State of Israel.

2.The Chain may at any time, at its sole and absolute discretion, and without any prior notice, change any matter related to the procedures and details of the promotion and/or the provisions of these regulations. Company records are the determinants in terms of these regulations, including with regard to the way of calculation of points, the method of their accumulation and/or their reduction, club member requests to utilize the points and so on.

3.GIFTCARD - Utilization of GIFTCARD is a replacement of the form of payment. Purchasing products with GIFTCARD credits the buyer with points upon purchase. Points shall not be accrued to the customer with the acquisition of the card, i.e. when loading the card.

4.The provisions of these regulations are for informative purposes only, and do not obligate the Chain in any way.

5.For the avoidance of doubt it is hereby clarified that participation in the club programs is subject to compliance of the club member with the rules provided herewith, including, but not limited to, his continued membership in Sabon’s membership club.

6.These regulations constitute the conditions for joining the program, and joining Sabon’s membership club means that the club member has read and agrees to these regulations.

7.Sabon reserves the right to alter and/or update and/or revise the provisions of these regulations, including all its sections, including provisions for eligibility for joining the club, the period of membership in the club, accrual key, the variety of benefits, validity period of the benefits and so forth, all as it sees fit and at its sole discretion. The binding version of the regulations is the one found periodically in Sabon’s offices or on the website:

8.Sabon is the sole authority for interpretation of the provisions of these regulations.

9.Wherever these regulations use the masculine form, the meaning shall be as if the feminine was used as well.

10.Sabon reserves the right to issue membership cards of various types, for free and/or otherwise, for all or some of the club members, all as determined by the club management and at its sole and absolute discretion.

11.Sabon reserves the right to regulate the manner of accrual of points and/or the provision or non-provision of bonus points based on purchases made using the various types of membership cards, as noted above, for each type of membership cards separately.


Members of the Existing Sabon Membership Club (hereinafter: the "old club")

1.Members of the existing club, may join the new club.

2.With their joining of the new club, all previous terms of the members of the old club shall be canceled.

3.In any case, without detracting from their rights, Sabon has decided to provide a "joining promotion" that periodically changes, for club members who wish to move from the existing club to the new club.

4.Members who choose not to join the new club will not be entitled to benefits exclusive to the new customer club.
